1. About these Terms

1.1. These Terms and Conditions ("Credit Terms") govern the purchase and use of credits, credit packs, and subscriptions (collectively, "Advisory Products") on the Conductor Sam platform operated by AI Travel Services Ltd ("we", "us", "our", "Conductor Sam").

1.2. We are AI Travel Services Ltd, a company registered in England and Wales (company number 16299804). Our registered office is at 8 Twisleton Court, Priory Hill, Dartford, DA1 2EN.

1.3. These Credit Terms apply in addition to our general Terms of Use . Where there is a conflict between these Credit Terms and the general Terms of Use, these Credit Terms take precedence in respect of Advisory Product purchases.

1.4. By purchasing any Advisory Product, you confirm that you have read, understood, and agree to be bound by these Credit Terms.

2. Definitions

In these Credit Terms:

  • "Credits" means the digital units purchased by you that are consumed when you use Conductor Sam's AI-powered advisory services, including but not limited to conversations, trip planning, and booking facilitation.
  • "Credit Pack" means a one-time purchase of a fixed number of credits.
  • "Subscription" means a recurring monthly or annual plan that provides credits and/or access to premium features on a periodic basis.
  • "Taster Credits" means the free credits provided to new users on account registration.
  • "Advisory Products" means credit packs and subscriptions collectively.
  • "Polar" means Polar Software Inc., which acts as the Merchant of Record for all Advisory Product transactions.

3. Merchant of Record

3.1. All Advisory Product purchases are processed by Polar Software Inc. ("Polar"), which acts as the Merchant of Record. This means that Polar is the legal seller of Advisory Products. Polar handles the collection of payment, calculation and collection of applicable taxes (including VAT, GST, and sales tax), and the issuance of invoices and receipts.

3.2. By purchasing an Advisory Product, you are entering into a transaction with Polar as the seller. Polar's terms of service and privacy policy apply to the payment processing aspects of your purchase in addition to these Credit Terms.

3.3. We are responsible for the delivery and performance of the Advisory Products (i.e., the provision of AI advisory services in exchange for credits). Polar is responsible for the payment processing, tax compliance, and invoicing.

4. Eligibility

4.1. You must be aged 16 or over to purchase Advisory Products. If you are aged 16 or 17, you must have the permission of your parent or guardian.

4.2. You must provide accurate, current, and complete information when making a purchase. You are responsible for ensuring that your payment details are correct.

4.3. We reserve the right to refuse or cancel any purchase if we reasonably believe that the purchase is fraudulent, made in breach of these Credit Terms, or otherwise made in bad faith.

5. Advisory Products and Pricing

5.1. Credit Packs

5.1.1. We offer credit packs at various price points, each containing a fixed number of credits. The available credit packs, their prices, and the number of credits included are displayed on our pricing page at the time of purchase.

5.1.2. Credit pack prices are displayed in the currency we consider most relevant to you based on your location. The final price, including any applicable taxes, will be shown to you before you confirm your purchase.

5.1.3. Credit packs are one-time purchases. No recurring charges will be applied unless you separately purchase a subscription.

5.2. Subscriptions

5.2.1. Subscriptions provide a monthly allocation of credits and/or access to premium features for a recurring fee. The available subscription plans, their prices, features, and credit allocations are displayed on our pricing page.

5.2.2. Subscriptions renew automatically at the end of each billing period (monthly or annually, depending on the plan selected) unless cancelled before the renewal date. You authorise Polar to charge your payment method for each renewal period until you cancel.

5.2.3. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will continue to have access to subscription benefits until the end of the period you have already paid for. No pro-rata refunds are given for partial billing periods.

5.2.4. Unused subscription credits do not roll over to the next billing period unless expressly stated otherwise for a particular plan.

5.3. Taster Credits

5.3.1. New users may receive a one-time allocation of free Taster Credits upon account registration. Taster Credits are subject to availability and we may change or withdraw the Taster Credit offer at any time without notice.

5.3.2. Taster Credits expire 30 days after they are credited to your account. Expired Taster Credits cannot be recovered, refunded, or reinstated.

5.3.3. Taster Credits are non-transferable and are limited to one allocation per person. We reserve the right to revoke Taster Credits if we reasonably believe that multiple accounts have been created by the same person to obtain additional free credits.

5.4. Pricing Changes

5.4.1. We may change the pricing of Advisory Products at any time. Price changes will not affect purchases already completed. For active subscriptions, we will give you at least 30 days' notice of any price increase before your next renewal date. If you do not wish to pay the increased price, you may cancel your subscription before the renewal date.

6. Payment

6.1. Payment for Advisory Products is collected by Polar as Merchant of Record. We accept payment methods as made available by Polar at the time of purchase, which may include credit cards, debit cards, PayPal, and other methods.

6.2. All prices are inclusive of applicable taxes unless stated otherwise. Polar calculates and collects the applicable VAT, GST, sales tax, or other consumption tax based on your location. The total amount payable, including tax, is displayed before you confirm your purchase.

6.3. Your order is complete when we have sent you a confirmation by email and after the full payment has been received. We reserve the right to cancel or refuse your order if payment is not received in full.

6.4. If you pay using a card linked to a bank account in a different currency from the transaction currency, your bank may charge a foreign exchange fee. This is outside our control.

7. Credit Usage and Expiry

7.1. How Credits Are Used

7.1.1. Credits are consumed when you use Conductor Sam's AI advisory services. Different actions consume different amounts of credits. The approximate credit cost of common actions (e.g., conversations, trip planning) is provided on our pricing page and within the platform.

7.1.2. Credit consumption may vary depending on the complexity and length of your interactions. We will display your current credit balance within the platform.

7.1.3. Credits purchased as part of a credit pack are consumed before any subscription credits for the same billing period, unless we specify otherwise.

7.2. Credit Expiry

7.2.1. Purchased credits (credits obtained via credit pack purchases) expire 12 months from the date of purchase.

7.2.2. Taster Credits (free credits granted on registration) expire 30 days from the date they are credited to your account.

7.2.3. Subscription credits expire at the end of the billing period in which they are allocated, unless the specific subscription plan states otherwise.

7.2.4. We will display the expiry date of your credits within the platform. We may send you a reminder before credits expire, but we are not obliged to do so.

7.2.5. Expired credits are forfeited and cannot be recovered, refunded, or reinstated.

7.3. No Monetary Value

7.3.1. Credits have no cash value and cannot be exchanged for cash, transferred to another person, sold, or traded.

7.3.2. Credits are personal to your account and are non-transferable, except where we expressly offer a gifting feature.

7.3.3. We may, at our discretion and without obligation, offer promotional credits, bonus credits, or other credit-based incentives. Such credits may be subject to additional terms (such as shorter expiry periods or usage restrictions) which will be communicated at the time they are offered.

8. Refunds and Cancellations

8.1. Credit Packs

8.1.1. Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have a statutory right to cancel a credit pack purchase within 14 days of the purchase date (the "Cooling-Off Period"), provided that you have not used any of the credits in the pack.

8.1.2. If you have used any credits from the pack during the Cooling-Off Period, you acknowledge that you have requested the supply of digital content before the end of the cancellation period and that you lose your right of withdrawal to the extent of the credits consumed.

8.1.3. To request a cancellation within the Cooling-Off Period, please contact us at hello@conductorsam.com . If a refund is due, it will be processed by Polar to your original payment method within 14 days of our acceptance of your cancellation request.

8.1.4. After the Cooling-Off Period, credit pack purchases are non-refundable.

8.2. Subscriptions

8.2.1. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refund is given for the remaining portion of the current billing period.

8.2.2. If you cancel a subscription within the first 14 days of your initial subscription purchase (the Cooling-Off Period), and you have not used any subscription credits or premium features, you may request a full refund.

8.2.3. If you have used subscription credits or premium features during the Cooling-Off Period, a proportionate deduction may be made from any refund to reflect the value of the services received.

8.3. Refund Process

8.3.1. All refunds are processed by Polar and returned to your original payment method. Please allow up to 10 business days for the refund to appear in your account, depending on your payment provider.

8.3.2. If you paid in a different currency, the refund amount may differ from the amount you originally paid due to exchange rate fluctuations. This is outside our control.

8.3.3. Any fees charged by Polar for payment processing are non-refundable, as they relate to the payment processing service already performed.

9. Account and Security

9.1. You must have a registered Conductor Sam account to purchase and use Advisory Products.

9.2. You are responsible for maintaining the confidentiality of your account credentials. All purchases and credit usage on your account are your responsibility. You must notify us immediately if you become aware of any unauthorised use of your account.

9.3. We reserve the right to suspend or terminate your account, or disable access to purchased credits, if we reasonably believe that:

  • your account has been used fraudulently or in breach of these Credit Terms;
  • you have created multiple accounts to abuse promotional offers (including Taster Credits);
  • your account is being used in a manner that disrupts or threatens the integrity of our services.

9.4. If we suspend or terminate your account for a reason that is not attributable to your breach of these Credit Terms, we will refund the value of any unused purchased credits remaining in your account.

10. Service Availability and AI Advisory Services

10.1. Conductor Sam's AI advisory services are provided on an "as available" basis. We do not guarantee uninterrupted or error-free access to the services. We may carry out maintenance or updates that temporarily affect availability.

10.2. AI-generated responses are provided for informational purposes as travel planning assistance. They are not a substitute for official information from train operators, tourism boards, or government sources. While we take reasonable care to provide accurate and helpful information, AI responses may at times be inaccurate, incomplete, or out of date.

10.3. You should not rely solely on Conductor Sam's AI advisory output for critical travel decisions. We recommend verifying important information (such as timetables, fares, visa requirements, and travel restrictions) with the relevant official sources before making bookings or travel arrangements.

10.4. We may change, improve, or discontinue features of our advisory services at any time. If we discontinue the service entirely, we will refund the value of any unused purchased credits remaining in your account.

11. Intellectual Property

11.1. All content, software, technology, and materials forming part of the Conductor Sam platform remain the property of AI Travel Services Ltd or its licensors.

11.2. Trip plans, itineraries, and other outputs generated by Conductor Sam's AI services for you are provided for your personal, non-commercial use. You may share trip plans with your travel companions. You may not reproduce, distribute, or commercially exploit AI-generated outputs without our prior written consent.

12. Liability

12.1. Nothing in these Credit Terms excludes or limits our liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation;
  • any other liability that cannot be excluded or limited under applicable law.

12.2. Subject to clause 12.1, our total aggregate liability to you in connection with Advisory Products shall not exceed the total amount you have paid for Advisory Products in the 12 months preceding the event giving rise to the claim.

12.3. Subject to clause 12.1, we are not liable for:

  • any indirect, incidental, special, or consequential loss or damage;
  • any loss of profit, revenue, data, or anticipated savings;
  • any loss or damage arising from your reliance on AI-generated information;
  • any loss or damage arising from circumstances outside our reasonable control.

12.4. We are not responsible for the performance, availability, or content of third-party services (including Polar's payment processing services, train operators, hotels, or activity providers). Your use of third-party services is subject to those providers' own terms and conditions.

13. Disputes and Complaints

13.1. If you have a complaint about an Advisory Product purchase or credit usage, please contact us at hello@conductorsam.com . We will aim to resolve your complaint as quickly as possible.

13.2. For payment-related disputes (e.g., incorrect charges, failed transactions), please contact us first. If we are unable to resolve the issue, you may contact Polar's support at support@polar.sh .

13.3. If we are unable to resolve your complaint to your satisfaction, you may refer the matter to an alternative dispute resolution provider. We are not obliged to participate in alternative dispute resolution, but we will inform you of any applicable scheme at the time.

14. Changes to These Terms

14.1. We may update these Credit Terms from time to time. The updated terms will be posted on our website with a revised "Last updated" date.

14.2. For active subscriptions, we will give you at least 30 days' notice of any material changes to these Credit Terms before your next renewal date. If you do not agree to the updated terms, you may cancel your subscription before the changes take effect.

14.3. Continued purchase or use of Advisory Products after the updated terms are posted constitutes your acceptance of the updated terms.

15. General

15.1. These Credit Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction in relation to any dispute arising under or in connection with these Credit Terms, subject to any mandatory consumer protection provisions that may apply.

15.2. If any provision of these Credit Terms is found to be invalid or unenforceable by a court, the remaining provisions shall continue in full force and effect.

15.3. Our failure to enforce any right or provision of these Credit Terms does not constitute a waiver of that right or provision.

15.4. These Credit Terms, together with the general Terms of Use and our Privacy Policy, constitute the entire agreement between you and us in relation to Advisory Product purchases.
